By becoming an affiliate, you are not just earning income—you are helping families:

1. Purpose
Connected Health Solutions, LLC (“COHealth”) markets and sells the Carebidet® Intelligent Toileting Care System and related products (“Products”).

The Affiliate agrees to refer potential customers to COHealth in exchange for a commission, subject to the terms outlined below.

This Agreement is non-exclusive.

2. Affiliate Role
The Affiliate’s role is limited to referring potential customers to COHealth.

The Affiliate:

• Has no authority to negotiate pricing or terms
• May not bind COHealth in any way
• May not represent themselves as an employee, agent, or partner of COHealth
  

3. Qualified Referral
A “Qualified Referral” is a referred customer who:

• Is first introduced to COHealth by the Affiliate
• Enters into a direct agreement with COHealth
• Completes a purchase of Products from COHealth
• Makes full payment to COHealth

COHealth reserves the sole right to determine whether areferral qualifies.

4. Commission Structure
The Affiliate shall earn a commission ranging from $500 to $1,000 per Qualified Referral, depending on the type of sale, pricing structure, and other commercial terms agreed upon with the customer.

A detailed Commission Schedule will be provided separately and may be updated from time to time.

5. Commission Payment Terms

Commission payments are subject to the following:

• Commission is earned only after COHealth receives full payment from the referred customer
• Commission is paid within five (5) business days after:
• Full payment has been received by COHealth, and
• The referred customer is no longer eligible to return the Product under COHealth’s return policy
• If a sale is canceled, refunded, reversed, or disputed:
• No commission is owed
• Any previously paid commission may be offset against future commissions

6. Taxes

The Affiliate is responsible for all applicable taxes related to commissions earned under this Agreement. COHealth will issue
required tax forms as applicable.

7. Confidentiality
The Affiliate agrees to keep confidential any non-public information related to COHealth, including pricing, customer information, and business operations.

8. Independent Contractor
The Affiliate is an independent contractor and not an employee, agent, or partner of COHealth.

9. Term and Termination
This Agreement may be terminated at any time by either party.

Termination does not entitle the Affiliate to commissions onsales that have not met the payment conditions outlined above.

10. Governing Law

This Agreement shall be governed by the laws of the State ofFlorida.

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement, or the breach, termination, enforcement, or
interpretation thereof, shall be resolved exclusively by binding arbitration.

The arbitration shall be conducted in Seminole County, Florida, USA, in accordance with the rules of the American Arbitration Association then in effect.

The arbitration shall be conducted by a single arbitrator.Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Each party shall bear its own legal fees and costs, unless otherwise determined by the arbitrator.

The parties agree that arbitration shall be conducted on an individual basis only, and not as a class, collective, or representative action.

Notwithstanding the foregoing, COHealth may seek injunctiveor equitable relief in any court of competent jurisdiction to protect its confidential information, intellectual property, or other proprietary rights.

12. Entire Agreement
This Agreement represents the entire understanding betweenthe parties regarding affiliate referrals.
